We may update, enhance, or discontinue parts of the Services at our discretion.

3. Accounts & Security

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to notify us immediately if you suspect unauthorized use of your account.
  • ShyftOff is not liable for losses resulting from unauthorized access caused by your failure to secure your account.

4. Acceptable Use

You agree not to:

  • Use the Services for unlawful or fraudulent purposes.
  • Attempt to disrupt or compromise the integrity of the Services.
  • Reverse-engineer, decompile, or resell our Services without authorization.
  • Misrepresent your identity or affiliation when using the Services.

5. Fees & Payment

  • Fees for Services are outlined in your service agreement or order form.
  • Payments must be made according to the billing schedule provided.
  • Late payments may incur interest and/or suspension of Services.

6. Intellectual Property

  • All content, software, and technology provided through the Services are the property of ShyftOff or its licensors.
  • You receive a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
  • No ownership rights are transferred by using the Services.

Both parties agree to maintain the confidentiality of proprietary and sensitive information exchanged under these Terms.

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to our collection, use, and processing of data as outlined in that policy.

9. Disclaimers

  • The Services are provided “as is” and “as available.”
  • ShyftOff makes no guarantees regarding uptime, performance, or results.
  • We disclaim all warranties to the maximum extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law:

  • ShyftOff is not liable for indirect, incidental, or consequential damages.
  • Our total liability for any claim relating to the Services will not exceed the amount you paid for the Services in the 12 months prior to the claim.

  • You may stop using the Services at any time.
  • ShyftOff may suspend or terminate your access if you violate these Terms or applicable law.
  • Provisions on intellectual property, confidentiality, limitations of liability, and dispute resolution will survive termination.

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Florida
  • Any disputes will be resolved through binding arbitration in Tampa, Florida, unless otherwise agreed.

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
